Company's Profile
Sabina Public Company Limited, formally known as J&D Apparel Public Company Limited, was founded on August 17, 1985 with registered capital of Baht 1 million, and Sabina Fareast Company Limited (Subsidiaries) was founded on January 11, 1977 with registered capital of Baht 1 million to operate lingerie business under the Subsidiaries' own brand and according to the orders from OEM customers.
The Company and Subsidiaries were founded by the 2nd generation of Thanalongkorn Family led by Mr. Viroj Thanalongkorn, who has experience in lingerie business for over 30 years. The 1st generation of Thanalongkorn started lingerie business from Jintana Lingerie Limited Partnership, which was founded by Mrs. Jintana and Mr. Adul Thanalongkorn, parents of Mr. Viroj Thanalongkorn who is management and major shareholder of the company. The Company and Subsidiaries have separated operation from Jintana Apparel Company Limited (present name of Jintana Lingerie Limited Partnership) over the last 13 years.
On May 18, 2007, J&D Apparel Public Company Limited changed its name to Sabina Public Company Limited with registered head office at 177 Moo8, Wangkaituen Sub-district, Hanka District, Chainart and 3 subsidiaries offices at 236 Moo10, Dootung Sub-district, Muang District, Yasothon; 12 Arun-Amarin Road, Arun-Amarin Sub-district, Bangkoknoi District, Bangkok; and 30/5 Moo12, Putthamonthon 5 Road, Raiking Sub-district, Sampran District, Nakorn Pathom.
History and major development of the Company and Subsidiaries can be summarized as followed.
Year 1971
- Jintana Lingerie Limited Partnership registered "Sabina" trademark.Jintana Lingerie Limited Partnership starts producing and distributing lingerie under the trademark Sabina.
Year 1977
- In January, Thanalongkorn Family, led by Mr. Adul Thanalongkorn, founded Sabina Fareast Company Limited with registered and paid-up capital of Baht 1 million, divided into 1,000 common shares with par value of Baht 1,000 each. Sabina Fareast Company Limited started its first factory at 93/23 Soi Romsai, Petchkasem road, Wat Thaphra Sub-district, Bangkokyai District, Bangkok on 138 square wah. The company started producing and distributing products under "Sabina" trademark.
Year 1981
- In December, Sabina Fareast Company Limited increased registered capital from Baht 1 million to Baht 4 million, fully paid-up, by issuing 3,000 new shares with par value of Baht 1,000 each offered to existing shareholders.
Year 1983
- In July, Sabina Fareast Company Limited increased registered capital from Baht 4 million to Baht 6 million, fully paid-up, by issuing 2,000 new shares with par value of Baht 1,000 each offered to existing shareholders.
Year 1995
- In May, Jintana Lingerie Limited Partnership transferred “Sabina” trademark to Sabina Fareast Company Limited.
- In July, Sabina Fareast Company Limited changed par value from Baht 1,000 per share to Baht 100, making the company to have a total of 60,000 shares.
- Sabina Fareast Company Limited increased registered capital from Baht 6 million to Baht 30 million, fully paid-up, by issuing 240,000 new shares with par value of Baht 100 each, offered to existing shareholders.
- In August, Thanalongkorn Family, led by Mrs.Jintana Thanalongkorn and Mrs. Viyada Iamamornphan, founded J&D Apparel Company Limited with registered capital of Baht 1 million, fully paid-up, divided into 1,000 shares with par value of Baht 1,000 each.
- In September, J&D Apparel Company Limited increased registered capital from Baht 1 million to Baht 10 million, fully paid-up, by issuing 9,000 new shares with par value of Baht 1,000 each, offered for existing shareholders.
- In November, the Board of Investment (BOI) awarded J&D Apparel Company Limited BOI certificate no. 1837/2538 for Chainart factory with privilege duration of 8 years starting from the operation commencement. J&D Apparel Company Limited began its first factory’s construction at 177 Moo8, Wangkaituen Sub-district, Hanka District, Chainart and installed 95 production machines.
Year 1996
- In July, J&D Apparel Company Limited increased registered capital from Baht 10 million to Baht 15 million, fully paid-up, by issuing 5,000 new shares with par value of Baht 1,000 each, offered to existing shareholders
Year 1997
- Sabina Fareast Company Limited constructed office and its 2nd factory at 30/5 Moo12, Putthamonthon 5 Road, Raiking Sub-district, Sampran District, Nakorn Pathom on 4 rai, 1 ngan and 87 square wah and installed 490 production machines with total production capacity of 4.2 million pieces per annum.
Year 2000
- Sabina Fareast Company Limited registered "Sabinie" trademark. In December, Sabina Fareast Company Limited increased registered capital from Baht 30 million to Baht 45 million, fully paid-up, by issuing 150,000 new shares with par value of Baht 100 each, offered for existing shareholders.
Year 2002
- In March, J&D Apparel Company Limited increased registered capital from Baht 15 million to Baht 25 million, fully paid-up, by issuing 10,000 new shares with par value of Baht 1,000 each, offered to existing shareholders.
- In May, Sabina Fareast Company Limited, constructed 2-storeyed office and finished goods warehouse on part of 11 rai, 2 ngan and 35 square wah, which is adjacent to the 2nd factory.
- In September, J&D Apparel Company Limited increased registered capital from Baht 25 million to Baht 150 million, fully paid-up, by issuing 125,000 new shares with par value of Baht 1,000 each offered to existing shareholders.
- In October the Board of Investment (BOI) awarded J&D Apparel Company Limited BOI certificate no. 1653(2) /2545 for Yasothon with privilege duration of 8 years starting from the operation commencement.
- J&D Apparel Company Limited constructed its second factory at 236 Moo10, Dootung Sub-district, Muang District, Yasothon on 53 rai, 2 ngan and 98 square wah according to factory expansion plan.
Year 2002
- J&D Apparel Company Limited paid Baht 99.9 million dividend for operation of year 2003, or Baht 666 per share.
Year 2005
- In July, J&D Apparel Company Limited, Sabina Fareast Company Limited and employees have formed employee providence fund together.
Year 2006
- In October, J&D Apparel Company Limited founded “Sabina Public Company Limited Educational Center” for high school education in the Yasothon factory.
- In October, J&D Apparel Company Limited developed video conference system to shorten product testing lead time.
- J&D Apparel Company Limited paid Baht 97.5 million dividend for operation of year 2005 or Baht 650 per share.
Year 2007
- In February, Sabina Fareast Company Limited bought land of Thaphra factory from Mr.Viroj Thanalongkorn to create transparency and eliminate any potential conflict of interest.
- In February, J&D Apparel Company Limited paid Baht 72 million interim dividend for the 9 month period ended 2003 to the shareholders or Baht 480 per share.
- In February, Mr. Viroj Thanalongkorn bought all common shares of J&D Apparel Company Limited held by Sabina Fareast Company Limited to make the Company’s shareholding structure clear, transparent and eliminate any potential conflict of interest. As a result, Sabina Fareast Company Limited was not a shareholder of J&D Apparel Company Limited.
- In March, J&D Apparel Company Limited increased registered capital from Baht 150 million to Baht 295 million, fully paid-up, by issuing 145,000 new shares with par value of Baht 1,000 each offered to existing shareholders.
- In March, J&D Apparel Company Limited bought all common shares of Sabina Fareast Company Limited from existing shareholders to make the Company’s shareholding structure clear, transparent and eliminate any potential conflict of interest. As a result, Sabina Fareast Company Limited became subsidiaries of J&D Apparel Company Limited.
- In April, Sabina Fareast Company Limited increased registered capital from Baht 45 million to Baht 145 million, fully paid-up, by issuing 1,000,000 new shares with par value of Baht 100 each offered to existing shareholders.
- In May, J&D Apparel Company Limited changed par value from Baht 1,000 to Baht 5 per share, making the company to have a total of 59 million shares.
- In May, J&D Apparel Company Limited converted its status into Public Company Limited under the name Sabina Public Company Limited to offer shares to general public and list the Company’s shares in the Stock Exchange of Thailand.
- In November, Sabina Public Company Limited was certified by OKOTEX-Standard 100, which is the European standard that certified it’s products begin completely free of substances that can be harmful for the customers’ skin.
Year 2008
- Sabina Public Company Limited at Yasothon factory was certified by ISO9001:2000 international standard on January 16, 2008.
- Sabina Public Company Limited at Arun-Amarin office and Putthamonthon 5 factory were certified by ISO9001:2000 international standard on February 22, 2008.
- Sabina Public Company Limited was certified by WRAP (Worldwide Responsible Apparel Production) standard, which is international labor standard concerning workplace environment and following custom practices at Yasothon factory for the 3rd consecutive year.
- Sabina Fareast Company Limited was certified by WRAP (Worldwide Responsible Apparel Production) standard, which is international labor standard concerning workplace environment and following custom practices at Putthamonthon 5 factory for the 4th consecutive year.
